Terms of Service

Effective: July 5, 2026 (v1.1) *(v1.0 effective June 6, 2026)*

Welcome to Demades. These Terms of Service ("Terms") govern your use of the Demades website, web application, mobile apps (iOS and Android), and podcast-generation services (together, the "Service"). The Service is operated by D3SMC LLC, a Texas limited liability company doing business as Demades ("Demades," "we," "us").

By creating an account, purchasing credits, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Demades generates research-driven, AI-produced podcast episodes. Episodes are created by artificial-intelligence systems — including AI-written scripts and synthetic voices — based on topics, sources, and prompts you provide and on publicly available research. Hosts you hear are not real people.

The free, no-sign-in clip tool (a short AI-generated demo clip from a topic you type) is governed by its own Free Clip Tool Terms, which supplement these Terms.

Our mobile apps may receive automatic over-the-air updates to their application code; you can disable app updates through your device's store settings, though some features may require a current version.

2. Accounts

You must sign in with a supported identity provider (for example Google, Apple, or a verified phone number) to use gated features. Browsing without an account may create a device-scoped guest session; signing in adopts that guest activity into your account. You are responsible for activity under your account. You must be at least 18 years old (or the age of majority where you live) to purchase credits or start a subscription.

3. Credits, subscriptions, and billing

• Free features. Some or all generation features may be offered free of charge for a period, subject to fair-use limits we enforce server-side. We may change or end free allowances at any time.
• Paid features consume credits (◈) purchased in packs or granted by a subscription plan. Prices are shown at the point of sale.
• Subscriptions renew automatically each billing period at the price shown at checkout, until you cancel. We disclose the renewal terms at the point of sale, and you can cancel anytime from Manage billing (the Stripe customer portal) or by emailing [email protected]; cancellation takes effect at the end of the current billing period.
• Credit packs are final sale: credits are non-refundable and never expire. Each generation consumes real third-party compute at run time, so consumed and unconsumed credits alike are not refundable. Promotional, gifted, or subscription-granted credits may carry their own stated conditions.
• If a generation fails on our side, the consumed credits for that attempt are automatically returned to your balance.
• Payments are processed by Stripe; we do not store your full card details.
• Chargebacks: if a payment is disputed, the credits from that purchase are reversed (your balance may go negative) and your account's purchasing and generation features are suspended while the dispute is open. Contact us first — we'd rather fix the problem.

4. AI-generated content — as is, no warranty of accuracy

Episodes are AI-generated and provided "as is" for informational and entertainment purposes only. We do not warrant that episode content is accurate, complete, or current, and it is not professional, legal, financial, medical, or investment advice. Companies and people discussed in episodes are not affiliated with and have not endorsed Demades or the episode unless expressly stated. You are responsible for reviewing generated content before relying on it or distributing it.

5. Ownership and license of generated episodes

• Your inputs. You retain ownership of topics, sources, text, and other material you submit, and grant us a license to process them to provide the Service (including generation, hosting, streaming, and transcripts).
• Generated episodes. Demades owns the generated episodes and underlying production assets. For each episode you generate or purchase, you receive a perpetual, worldwide, non-exclusive license to use, reproduce, distribute, publicly perform, and commercially exploit that episode.
• Showcasing. We may feature episodes published to the public catalog or marketplace in our marketing and on the Service. Episodes in private, access-gated collections are never showcased publicly.
• Publishing as a creator. Publishing your own public shows or listing episodes on the marketplace requires accepting the Creator Agreement, which governs content responsibility for what you publish.
• Distribution. Episodes and shows published to the public catalog may be syndicated beyond demades.ai — for example via RSS feeds submitted to third-party podcast platforms. Removing a published episode also removes it from our feeds, but third-party platforms refresh on their own schedules and may cache content.

6. Acceptable use

You may not use the Service to:

• generate content that is defamatory, harassing, or knowingly false about identifiable people or organizations;
• infringe trademarks, copyrights, or rights of publicity;
• commission attack content targeting a competitor or any third party (see our Editorial & AI Policy);
• harass or abuse others in chats, comments, or any other community surface;
• scrape, reverse-engineer, resell access to, or disrupt the Service;
• violate any applicable law.

We may refuse, soften, or remove content that violates this section or the Editorial & AI Policy, and may suspend or terminate accounts for violations.

7. Corrections, takedowns, and DMCA

If you believe an episode contains a false or infringing statement about you or your organization, contact [email protected]. Our correction and takedown process — including timelines — is described in the Editorial & AI Policy. Copyright infringement claims are governed by our DMCA & Copyright Policy; DMCA notices should be sent to [email protected] with the information required by 17 U.S.C. § 512(c)(3).

8. Termination

You may stop using the Service at any time and may delete your account from Settings. We may suspend or terminate accounts that violate these Terms. Credit balances are not redeemable for cash and are forfeited on account deletion or termination for cause, except where prohibited by law.

9. Disclaimers and limitation of liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, D3SMC LLC'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AND (B) US $100. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL.

10. Indemnification

You will indemnify and hold harmless D3SMC LLC from claims arising out of your inputs, your distribution or use of generated episodes, or your violation of these Terms.

11. Governing law; disputes; arbitration

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. Any dispute that cannot be resolved informally will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, held in Travis County, Texas (or remotely). You and Demades each waive the right to a jury trial and to participate in a class action. Either party may instead bring an individual claim in small-claims court, and either party may seek injunctive relief for intellectual-property violations in court. You may opt out of this arbitration clause by emailing [email protected] within 30 days of first accepting these Terms.

12. Changes

We may update these Terms; material changes will be posted on this page with a new effective date, and continued use of the Service constitutes acceptance. The current version always lives at `/terms`.
